Wendy’s drops as Trian reins in take-private ambitions

Investing.com -- Shares of The Wendy’s Co (NASDAQ:WEN) plunged 14.8% in after-hours trading Wednesday following reports that Nelson Peltz’s Trian Fund Management currently has no plans to make a take-private bid for the fast-food chain. Wendy’s Soars on Possible Peltz Play

Trian, a longtime Wendy’s investor that held around 16% of company shares as of earlier this year, in February said the firm had spoken to potential investors about strategic options, including potentially taking control of the chain and taking it private.

Trian holds a combined stake exceeding 24% in the company — a 16% personal position held by Peltz plus a 7.9% fund stake — meaning any formal offer would trigger a mandatory SEC regulatory filing that would set an independent director review process in motion.
