$CRCL reported total revenue and reserve income of $865M for the third quarter, up 17% from a year ago and 23% from the second quarter, and net income of $226M, or $0.84 a diluted share. The headline growth came from one line: $182M of revenue from the presale of ARC, the token of Circle's new Arc blockchain. Reserve income, the yield on the assets behind USDC, fell 8% to $658M. This recap walks the numbers, the one line the teardown said to watch, the read across the crypto theme, and what comes next.
The TL;DR. The teardown on /stocks/crcl named one number: revenue less distribution costs, before any token revenue. It was $289M in Q2. Reported Q3 revenue less distribution costs was $453M; take out the $182M ARC presale and our arithmetic gives about $271M, down about 6% from Q2. Average USDC in circulation was $73.3B, up 8% in a year, at a reserve return rate of 3.5%. Before the open, the stock was quoted around $73.00, against a $75.22 close on November 3.
This recap is drawn from the news release (8-K exhibit 99.1, filed November 4, 2026 before the open). The livestream call of the same morning is not covered here, and no consensus figure is used.
The print
| Metric | Q3 2026 | Q2 2026 | Q3 2025 | Y/Y |
|---|---|---|---|---|
| Total revenue and reserve income | $865M | $701M | $740M | +17% |
| Reserve income | $658M | $668M | $711M | -8% |
| Other revenue | $207M | $34M | $29M | |
| Distribution, transaction and other costs | $412M | $412M | $448M | -8% |
| Revenue less distribution costs (RLDC) | $453M | $289M | $292M | +55% |
| RLDC margin | 52% | 41% | 39% | |
| Net income | $226M | not in release | $214M | +5% |
| Diluted EPS | $0.84 | not in release | $0.64 | |
| Adjusted EBITDA | $317M | $143M | $171M | +85% |
- The ARC presale: $182M of the $207M of other revenue. Without it, other revenue was about $25M, below the $34M of Q2, as subscription and services revenue fell.
- Net reserve margin (reserve income less distribution costs, as a share of reserve income) was 38%, against 39% in Q2 and 37% a year ago.
- Operating expenses rose 16% to $245M, adjusted operating expenses 13% to $139M, on G&A, IT infrastructure and marketing.
- Net income grew only 5% despite the presale, because other income fell to $20M from $72M and the year-ago quarter carried a $61M tax benefit.

| USDC in circulation, average | $73.3B | +8% |
| USDC in circulation, end of period | $73.9B | flat |

- Circle Payments Network reached $41.3B of annualized payment volume.
- Tazapay: a definitive agreement to buy the Singapore B2B cross-border payments platform ($25B+ of annualized volume, about 60% already in stablecoins), expected to close in 2027 pending approvals.
- Arc: public mainnet on September 16, with a full initial supply of 10 billion ARC tokens minted at genesis and a move to proof of stake planned for 2027.
- Binance announced a $100M equity investment in Circle and an expanded partnership to promote USDC on its platform.
The guide
Guidance is unchanged: USDC in circulation growing at a 40% compound rate over a multi-year cycle, 2026 other revenue of $310M to $330M (ARC presale included), an RLDC margin of 41.7% to 43.7% and adjusted operating expenses of $570M to $585M. With $282M of other revenue booked in nine months, the full-year range leaves about $28M to $48M for Q4.
Crypto read-through
The standing QA thesis on /stocks/crcl reads Circle as a toll on digital dollars: it earns the yield on USDC reserves, pays a large share of it to distribution partners, and every rate cut shrinks what it keeps. This print does not change that read; it adds a second source of revenue whose size depends on a token.
- Rates: the reserve return rate fell 61 basis points in a year, and reserve income fell 8% although average USDC grew 8%.
- Partners: distribution and transaction costs were 62% of reserve income, about the same as in Q2.
- The new leg: the ARC presale lifted the quarter's margin to 52%; the full-year guide of 41.7% to 43.7% shows the company does not expect that level to last.
For the cohort, $COIN is on the other side of the same distribution deal (Coinbase Q3 recap): its stablecoin revenue is part of what Circle pays out. $HOOD and $MSTR trade with the same crypto tape, and Tether, about two and a half times larger than USDC, is the main competitor.
What worked
- Revenue of $865M, up 17%, and a record 52% RLDC margin.
- Average USDC up 8% and USDC held on Circle's own platform up 36%.
- Arc on public mainnet, with the token presale already booked as revenue.
- Payment volume on the Circle Payments Network at $41.3B annualized, plus the Tazapay deal.
- A $100M equity investment from Binance.
What broke
- Core revenue fell. Reserve income down 8% in a year and 1% from Q2.
- The watched number. Revenue less distribution costs before the ARC presale was about $271M, below the $289M of Q2 (our arithmetic).
- Market share. 27%, down 1.8 points, and USDC flat in a year at the end of the period.
- One-off quality. Most of the headline growth came from a token presale that the full-year guide does not repeat at that size.
- The tape. A $75.22 close on November 3, down about 36% over a year.
What to watch
- Q4 print. Revenue less distribution costs without token revenue, against the $271M of Q3.
- Rates. The reserve return rate after each Fed decision.
- USDC supply. Circulation and market share against Tether and bank-issued stablecoins.
- Arc. The road to proof of stake in 2027 and any further ARC revenue.
- Tazapay. Regulatory approvals and the closing, expected in 2027.
